Terms of Service

1. Introduction
Welcome to Nexanet ("Nexanet," "we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of nexanet.ai, our services, our paid instructor-led classes, and related content, communications, and tools (collectively, the "Services"). By using the Services or purchasing a class seat, you agree to these Terms.
If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Eligibility
- You must be at least 18 years old.
- You must have legal authority to enter into a binding agreement.
- You must use the Services only in compliance with applicable law.
3. Accounts and Contact Information
Some Services may require you to provide contact information or create an account. You are responsible for providing accurate information, maintaining the confidentiality of any credentials, and promptly notifying us of unauthorized access.
4. Paid Classes, Seat Reservations, and Payment
- Class seats are sold per attendee and are subject to availability.
- Starting checkout does not confirm a seat. A seat is confirmed only after successful payment and completion of the payment confirmation process.
- Payments are processed through Stripe Checkout. Nexanet does not collect or store card numbers, CVV codes, or bank account numbers.
- Stripe may collect the checkout email address and payment information needed to process the transaction, prevent fraud, issue receipts, manage refunds, and handle disputes.
- If payment succeeds but the selected seat cannot be confirmed because of a technical or inventory issue, Nexanet may issue a refund or offer a reschedule.
5. Taxes, Pricing, and Availability
Prices are shown in U.S. dollars unless otherwise stated. Taxes, if any, may be calculated or collected through Stripe or handled as otherwise required by applicable law. Class dates, capacity, pricing, and availability may change before checkout is completed.
6. Refunds, Reschedules, and No-Shows
Refunds and reschedules are available until 24 hours before class starts. Seats canceled inside 24 hours and no-shows are non-refundable.
If Nexanet cancels a class, we may offer a reschedule or refund. If Nexanet changes a class date or time materially, we will use reasonable efforts to notify confirmed attendees using the email address available through Stripe Checkout.
7. Class Access, Calendar Invites, and Meeting Links
- Private class access links are sent after successful payment confirmation.
- Calendar invites and meeting links are intended only for the confirmed attendee.
- You may not forward, publish, sell, share, or redistribute class access links.
- Nexanet may remove or deny access to anyone who disrupts a class, shares access improperly, or violates these Terms.
8. Acceptable Use
You agree not to use the Services, class materials, or information learned through Nexanet for unlawful or harmful purposes. Prohibited conduct includes:
- Stalking, harassment, intimidation, doxxing, or targeting another person.
- Unauthorized access, credential theft, fraud, social engineering, or circumvention of security controls.
- Evading lawful process, sanctions, court orders, or law enforcement obligations.
- Collecting, using, or disclosing personal information in violation of law or another person's rights.
- Disrupting, overloading, scraping, probing, or interfering with the Services or related systems.
- Recording, reproducing, reselling, or redistributing classes or materials without written permission.
9. Intellectual Property and Class Materials
Nexanet and its licensors own the Services, content, class materials, workflows, templates, text, graphics, logos, and other materials we provide. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to access and use the Services and class materials for your own lawful personal or internal business use.
You may not copy, publish, record, distribute, create derivative works from, sell, or commercially exploit Nexanet materials without our prior written permission.
10. User Content and Sensitive Information
If you submit information, questions, documents, or other content to Nexanet, you retain your rights in that content. You grant Nexanet a limited license to use it only as needed to provide the Services, respond to you, protect the Services, comply with law, and enforce these Terms.
Do not submit sensitive personal information during checkout or by email unless we specifically request it through an appropriate channel. Do not share another person's private information unless you have lawful authority to do so.
11. Privacy
Our Privacy Policy explains how we collect, use, disclose, and retain information. The Privacy Policy is incorporated into these Terms by reference.
12. Third-Party Services
The Services may use or link to third-party services for payment processing, consultation scheduling, meetings, hosting, email delivery, and related operations. We do not control third-party services and are not responsible for their terms, privacy practices, availability, or security.
13. Educational Nature and No Professional Advice
Nexanet training and website content are provided for educational and informational purposes. They are not legal, financial, medical, or other regulated professional advice. You are responsible for obtaining professional advice where appropriate.
Nexanet does not guarantee that any action, class, workflow, or recommendation will remove all information about you, make you anonymous, prevent doxxing, stop profiling, prevent compromise, or eliminate risk.
14. Disclaimers
The Services are provided on an "as-is" and "as-available" basis. To the fullest extent permitted by law, Nexanet disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, and security.
15. Limitation of Liability
To the fullest extent permitted by law, Nexanet will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, loss of goodwill, service interruption, or security incidents arising from or related to the Services.
To the fullest extent permitted by law, Nexanet's total liability for claims arising out of or related to the Services will not exceed the amount you paid to Nexanet for the Service giving rise to the claim.
16. Indemnification
You agree to defend, indemnify, and hold harmless Nexanet, its affiliates, officers, directors, employees, contractors, and agents from claims, damages, losses, liabilities, costs, and expenses arising from your use of the Services, your violation of these Terms, your violation of law, or your infringement or misuse of another person's rights or information.
17. Suspension and Termination
We may suspend or terminate access to the Services, including class access, if we believe you violated these Terms, created risk for Nexanet or others, misused class access, failed to pay, or used the Services unlawfully. Sections that by their nature should survive termination will continue to apply.
18. Governing Law and Dispute Resolution
- These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles.
- Any dispute arising out of or relating to these Terms or the Services shall be resolved through binding arbitration in Miami, Florida, in accordance with the rules of the American Arbitration Association, unless prohibited by applicable law.
19. Changes to These Terms
We may update these Terms from time to time by posting an updated version on this page. Your continued use of the Services after an update means you accept the revised Terms to the extent permitted by law.
